This platform is operated by the Open Innovation portal team at yet2 on behalf of Haleon plc and its subsidiaries comprising the Haleon group of companies ("Haleon") - together "we", "us".
You understand that by submitting your idea, you are agreeing to have it reviewed and evaluated by us. Submissions will be initially reviewed by yet2 who will first evaluate your submission to ensure it contains only non-confidential information. If yet2's initial evaluation determines your submission to contain confidential information, yet2 will reject your submission and ask you to resubmit non-confidential information only. Once the submission is deemed to contain only non-confidential information, yet2 will evaluate the submission against the criteria of the Haleon's Technology Needs and interest areas. During this process yet2 may reach out to you through the portal to ask clarifying questions on your submission and request additional non-confidential information to be added to your submission. If your submission meets requirements of Haleon's Technology Needs and interest areas, yet2 will pass your non-confidential submission to Haleon's External Innovation teams for further review. You will receive automated notifications from the platform notifying you as your submission progresses to different evaluation stages.
You acknowledge that there is no obligation for Haleon to review your submission nor for any compensation to be paid or owed to you by submitting your idea.
You acknowledge that the review and evaluation of your submission by yet2 and Haleon does not impose any confidentiality obligations on us, and that you confirm that you are not breaching any confidentiality obligations owed to others by making this submission.
You confirm that you are legally entitled and permitted to submit your idea, and that there is no legal reason why you cannot do so and that the idea is not owned by or taken from any third party.
You agree that you will indemnify each of Haleon and yet2 and hold each of us harmless from and against any losses, damages, liabilities, obligations, claims (including third party claims), actions and demands, including without limitation reasonable legal fees, arising directly or indirectly from any breach by you of confidentiality or third party intellectual property rights or for any act or omission by you whatsoever.
You acknowledge and agree that your submission should provide only brief and non-confidential information and that you are solely responsible for taking care of and protecting your idea. You acknowledge and agree that your submission and any details you disclose as part of your submission are entirely at your own election, discretion and risk.
You understand that any intellectual property rights related to your submission are your sole responsibility and that by making this submission, you are not granting any rights or obligations related to patents, copyrights, or designs to yet2 or Haleon.
You acknowledge that neither yet2 nor Haleon are responsible for providing you with any response nor any advice or legal advice related to your submission.
You acknowledge that yet2 or Haleon may already be independently working on similar concepts, services, technologies, etc. without any connection or even knowledge of your submission.
By submitting your idea, you acknowledge that your submission does not create any contractual obligation, working relationship, ownership or entitlement between yourself and any of us (yet2 and/or Haleon together or individually).
You confirm that any personal information you provide, such as your name and email address, will be processed and held by yet2 and Haleon for the purpose of evaluating your submission as defined in Haleon's Privacy Policy.
If your submission is of interest, you will be contacted and may be asked to sign a further agreement with yet2 and/or Haleon to protect any confidential information subsequently shared.
Failure by any of us to enforce any right or rights at any stage does not and shall not constitute a waiver of those rights.
These terms and conditions shall be exclusively governed by the laws of England and the courts of London, England.
